These Terms of Service (“Terms”) govern your access to and use of VocalDesk AI’s website, products, and services (collectively, the “Service” or “Services”). By using or accessing the Service, you (“you”, “your”, or “User”) agree to these Terms. If you’re using the Service on behalf of a company or other legal entity, you represent that you have authority to bind that entity to these Terms.
1. Acceptance & Eligibility

1.1 You must be at least 18 years old (or the age of majority in your jurisdiction) to use the Service.
1.2 By using the Service, you represent that you will comply with all applicable laws, regulations, and these Terms.
1.3 We may refuse service, suspend, or terminate accounts at our discretion, including for violation of these Terms.
2. Accounts, Security & Your Responsibilities
2.1 To access certain features, you may need to register for an account. You agree to provide accurate, current, and complete information.
2.2 You are responsible for safeguarding your credentials (username, password, API keys, etc.). You are liable for all activity under your account.
2.3 You must promptly notify us of any unauthorized use or breach of security.
2.4 We reserve the right to suspend or cancel your account or access if we believe, in our discretion, there is suspicious or abusive behavior.
3. Use of Service & Restrictions
3.1 We grant you a limited, revocable, non-exclusive, non-transferable license to use the Service, subject to these Terms.
3.2 You agree not to:

Reverse engineer, decompile, disassemble, or attempt to derive the source code or underlying algorithms of the Service (unless permitted by law).

Use the Service in ways that violate laws, regulations, or third-party rights.

Use the Service to create derivatives or competing services.

Use the Service to transmit harmful content (viruses, malware, etc.), spam, or engage in harassment.

Overload, stress test, or attempt to disable or disrupt the Service.

Bypass technical restrictions, attempt to circumvent security features, or scrape data unlawfully.
3.3 We may impose usage quotas, limits, or require that you upgrade your plan to continue use.
4. AI Outputs, Disclaimers & Liability
4.1 The Service may generate content, predictions, or suggestions (“AI Outputs”). AI Outputs are provided “as is” and for general informational or assistance purposes only.
4.2 You accept that AI Outputs may be inaccurate, incomplete, or unsuitable. You remain responsible for verifying and using outputs appropriately.
4.3 We disclaim all warranties regarding completeness, accuracy, reliability, or fitness for a particular use.
4.4 To the maximum extent permitted by law, our liability to you for any damages from use of the Service is limited. In no event shall our total liability exceed the amount you have paid us in the past [six (6) months] (or a minimum monetary cap, if applicable).
4.5 We are not liable for indirect, incidental, consequential, special, or punitive damages, loss of data, profits, goodwill, or business interruption.
5. Payment, Subscriptions, Refunds
5.1 If you purchase a subscription or other paid plan, you agree to pay all fees, charges, and taxes in accordance with billing terms.
5.2 Fees are non-refundable except where required by law or explicit policy.
5.3 We may change pricing or plans (with advance notice). You may be required to accept new terms to continue using the Service.
5.4 If payment fails, we may suspend or downgrade your access until payment is resolved.
6. Intellectual Property
6.1 We (and our licensors) retain all rights, title, and interest in and to the Service, including all intellectual property rights.
6.2 You retain ownership of any materials you submit (e.g. prompts, data, user content). By submitting content, you grant us a license to use, reproduce, modify, display, distribute, and adapt your content as needed to provide and improve the Service.
6.3 You represent and warrant that you have the rights to any content you upload, and that you are not infringing third-party rights.
7. User Content & Acceptable Use
7.1 “User Content” refers to any content you upload, post, transmit, or input to the Service (e.g. text, data, media, feedback).
7.2 You are responsible for your User Content and must ensure it does not violate any law or third-party rights.
7.3 You must not submit content that is unlawful, defamatory, infringing, obscene, harmful, or otherwise objectionable.
7.4 We may monitor, remove or refuse content that violates these Terms or that we believe is objectionable, without liability.
7.5 You grant us a worldwide, royalty-free, perpetual, irrevocable, sublicensable license to use your User Content to provide, maintain, improve, and promote the Service (including preparing aggregated or anonymized data sets).
8. Termination & Suspension
8.1 We may suspend or terminate your access to the Service at any time, for cause or without cause, with or without notice.
8.2 If terminated, you must stop using the Service. We may delete or deactivate your account and content.
8.3 Provisions that by their nature should survive termination (e.g. IP, disclaimers, liability limitations, indemnification, governing law) will remain in effect.
9. Indemnification
You agree to defend, indemnify, and hold harmless VocalDesk AI and its officers, directors, employees, agents, and affiliates against any claim, demand, damages, losses, liabilities, costs or expenses (including reasonable legal fees) arising from:

10. Governing Law, Disputes & Arbitration

10.2 Any dispute arising under or relating to these Terms or the Service shall be resolved by arbitration (unless you prefer small claims court or as permitted by law).

12.4 Entire Agreement — These Terms (and any incorporated policies) are the complete agreement between you and us regarding the Service.
